For employees, clients, and suppliers, it is of great importance that we ensure the continuity of our business operations. Therefore, we adhere to careful corporate governance processes that oversee the execution of our business strategy.

Supplier conditions

Given its leading position as the Netherlands’ most sustainable technical service provider, Unica believes it is important that people and the environment are treated responsibly. That’s why Unica applies the Code of Sustainable Supply, as part of which its partners and suppliers also adhere to a sustainable and socially responsible way of doing business. The code contains agreements relating to work, health & safety, the environment, ethics and management. As such, the code includes articles on working hours, discrimination, safety on the work floor, sustainability and environmental matters, and integrity. All articles in the code are important for the responsible and sustainable way of doing business that Unica applies in all its work.

Unica’s partners must sign the Code of Sustainable Supply when concluding a framework agreement or contract. It goes without saying that Unica also applies the agreements in the code.

Safety

Preventing and identifying safety risks on the work floor is a policy spearhead at Unica. We operate according to the motto: we work safely or we do not work at all! This reflects our efforts in ensuring a safe and healthy working environment in which we strive to prevent accidents and maintain a safe working environment for everyone involved in the work we carry out; employees, temporary employees, self-employed contractors, subcontractors and chain partners and the end users of the technical solutions we supply. By integrating preventive measures and active risk governance/ management in our everyday business operations, we create a working culture in which safety is recognised as a shared responsibility.

Governance Code Safety

To help ensure safety at work, since it was established in 2014, Unica has been involved in the Governance Code for Safety in Construction (GCVB). The GCVB itself draws attention across the sector to the importance of safety culture in the construction industry and technical professions, and has now attracted more than 1,200 participants. Unica is one of the 14 initiators behind this code and CEO Jilko Andringa is a member of the core group. By participating in the core group of the GCVB, Unica will continue to underwrite the importance of safety awareness now and for the coming years.

Our employees are the foundation for the success of Unica. Our personnel policy is focused on creating a safe, inspiring and inclusive working environment in which employees prosper and are able to develop. We attach considerable value to being a good employer and underwrite international guidelines such as the United Nations Guiding Principles on Business and Human Rights and the standards of the International Labour Organisation, in safeguarding an ethical and responsible personnel policy.

Code of conduct

Unica's good reputation is a key foundation for future contracts and business relations. In order to maintain Unica's good reputation, all its operating companies and business units operate in accordance with the applicable laws and regulations. To clarify what is expected of employees, Unica has adopted a Code of Conduct which includes rules on how Unica employees should conduct themselves in the performance of their duties.

The Integrity Reporting Procedure (Dutch: Meldregeling Integriteit) is part of Unica's Code of Conduct. These regulations describe what employees must do in the event of (suspected) business integrity violations and abuses and how any report of these will proceed. Works Council

In implementing the strategy, the management of Unica consults constructively with the Works Council. In respect of formal policy issues and on informal matters, transparent discussions are held with the common objective of maintaining the balance between the interests of the company and those of the employees.

The Works Council consists of representatives from all clusters, and each cluster has a number of seats on the Works Council, proportionate to their employee numbers. The Works Councils of the companies acquired in recent years have been integrated in this Works Council and can make their contribution via their own subcommittee, which specifically represents the grassroots at their company.

Shareholders and management

Unica has two shareholders with a substantial interest. Investor Triton has been a majority shareholder since 2017, while the Van Vliet family, as the founders of our company, remain closely involved with Unica as shareholder. This structure neatly combines our long history as a family-owned Dutch company with the professional support of an investment firm. The stability of the two major shareholders forms a solid foundation for achieving the further growth and ambitions of Unica.

Management

The policy and structure at Unica are determined by the Board of Directors. The Supervisory Board supervises the implementation of policy and strategy, and advises the Board of Directors on strategic choices. The Executive Committee (ExCo), which includes the directors of the nine business clusters, the business services and members of the Board of Directors, is responsible for the daily management of the group of companies.
